Duties: Will report to the Senior Counsel, SEC, Governance and Corporate Finance and requires a creative, solutions-driven individual able to juggle multiple tasks. Will handle governance and general corporate work in Law Department. Will provide legal support to the Office of the Corporate Secretary and Global Finance on governance, general corporate and public company reporting matters. Provide legal support for the Office of the Corporate Secretary and clients in Global Finance on governance, general corporate matters and public company reporting. Work on projects related to specific areas of corporate governance for company and its Board of Directors, including benchmarking, researching, consulting appropriate public company resources and drafting memos. Assist Corporate Secretary and Assistant Corporate Secretaries in preparation of Board materials, including pre-reads, resolutions, presentations and minutes. Provide support on preparation of public filings, including proxy statement, annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K. Manage specific aspects of annual proxy season and periodic reporting, including activities relating to annual meeting, stockholder inquiries and proposals, best-trend governance research and proactive monitoring and reporting on securities and governance developments (including ?best practice? trends). Support on review and updates of policies owned by Office of the Corporate Secretary, including Insider Trading Policy and Policy on Communicating as a Public Company. Provide legal advice on corporate matters, including negotiating and drafting general corporate agreements. Assist on strategic projects and training within Office of Corporate Secretary. Assist on strategic projects within the law department.Estimated Salary: $20 to $28 per hour based on qualifications.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
